As part of their growth, our client is expanding the legal team to include an additional Senior Corporate Counsel. Operating at the highest levels of the company, this is an extraordinary opportunity for the right individual to work directly with outside counsel, senior legal staff, members of the executive leadership and HR leadership to manage all legal matters and public company reporting requirements associated with executive compensation including equity compensation and benefits. 

What you will do… 

  • Work with highly qualified outside counsel to provide expert advice on a broad range of legal issues based on your expertise and the needs of the business.
  • Partner with corporate functions including tax, accounting and HR on corporate governance, executive compensation including equity compensation and employee benefits.
  • Participate in corporate governance, disclosures including preparation of the annual proxy statements. 
  • Draft and review agreements and legal documents. 
  • Collaborate with internal stakeholders to identify and mitigate risks.
  • Partner with external counsel on executive compensation and employee benefit related matters.
  • Conduct legal research and analysis to remain abreast of changes in the laws and regulations affecting compensation and benefits for publicly traded companies.
  • Develop and oversee relationships with external counsel, leveraging their expertise to enhance company strategies. 
  • Assume additional responsibilities and oversight for legal matters as assigned by the General Counsel.

Requirements

Must have:

Juris Doctor (JD) degrees from an accredited law school. 

  • 5+ years’ experience practicing corporate law with a multi-services firm, or in-house experience at a publicly traded company listed on either the NYSE or NASDAQ.
  • Corporate law, including corporate governance and reporting.
  • Meaningful experience in the preparation of SEC filings. 
  • Exposure and willingness to focus on executive compensation, equity compensation and employee benefits.
  • Ability to obtain membership in the Oregon State Bar through application within the first year of joining the team.
  • Strategic thinker with demonstrable business acumen.
  • Excellent judgment, attention to detail, and ability to manage and deliver against multiple priorities and deadlines in a fast-paced environment.
  • Ability to collaborate and communicate professionally, both verbally and in writing, at all levels of the organization.

Preferred:

  • Legal experience or exposure in areas including corporation finance (debt and equity), securities regulation, employment and employee benefits such as non-qualified & qualified plans, mergers, ESPP, executive compensation, fringe benefits, health and wellness plans, proxy, tax and trade compliance.
