Public Company Advisory Associate – Securities and Capital Markets
Location Options: New York, Atlanta, Boston, Chicago, Costa Mesa, Dallas, Washington, Houston, Los Angeles, Palo Alto, San Diego, San Francisco

Direct Counsel is seeking a Mid-Level Associate to join the Securities and Capital Markets Group at a leading Am Law 100 firm. This role focuses on advising public company clients on disclosure obligations, corporate governance, and compliance with federal securities laws and listing standards.

Key Responsibilities:

  • Draft and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
  • Advise clients on SEC interactions, compliance with major U.S. exchange listing standards, and corporate governance.
  • Counsel clients on executive and director compensation disclosures.
  • Provide strategic advice during crisis situations and special events requiring securities law expertise.

Preferred Background:

  • At least four years of experience in public company advisory work.
  • Strong knowledge of SEC disclosure requirements, U.S. exchange listing standards, and corporate governance principles.
  • Law firm experience required.
  • Admission to practice law and good standing in the jurisdiction of hire.

Compensation:
The salary range for this position is $310,000 to $390,000 annually, commensurate with experience and other relevant factors.
